Q-Free: Acceptances received under mandatory offer to acquire all shares in Q-Free ASA
The Offer is not being made, and this press release may not be distributed, directly or indirectly, in or into, nor will any tender of shares be accepted from or on behalf of holders in, any jurisdiction in which the making of the Offer, the distribution of this stock exchange announcement or the acceptance of any tender of shares would contravene applicable laws or regulations.
(Oslo, 10 February 2021): Reference is made to the mandatory offer (the “Offer”) from Rieber & Søn AS (the “Offeror”) to acquire all shares in Q-Free ASA (“Q-Free” or the “Company”) pursuant to an offer document dated 14 January 2021. On 10 February 2021, the Offeror received acceptance under the Offer for 3,121 shares, corresponding to 0.0029% of the share capital and voting rights in the Company.
Following these acceptances, the Offeror has received acceptances for a total of 94,139 shares and votes in Q-Free. In addition, the Offeror owns a total of 50,258,397 shares in the Company, representing 46.44% of the shares and votes in the Company, for an aggregate holding of shares and rights to shares in the Company of 46.53%. The foregoing percentages have been calculated based on 108,216,534 issued shares in Q-Free ASA.
The Offeror is represented on the Board of Directors of Q-Free and is therefore considered a primary insider of the Company.
