Q-FREE ASA: ANNOUNCES SUCCESSFUL PLACEMENT OF NOK 80 MILLION UNSECURED SUBORDINATED CONVERTIBLE BONDS DUE 19 MAY 2023

Q-FREE ASA (“Q-FREE” or the “Company”) announces today the successful placement of subordinated unsecured bonds due 19 May 2023 (the “Bonds”) convertible into new and/or existing shares of the Company (the “Shares”) with a total size of NOK 80 million which, based on the initial conversion price, is convertible into 18,319,632 new shares.

The Bonds will bear interest at 6 months NIBOR + 4.00% per annum with deferral optionality, have a tenor of three years and an initial conversion price of NOK 4.3669 equal to a premium of 25% over the volume weighted average price of the Shares on the Oslo Stock Exchange the 22 April 2020 of NOK 3.4935. The Bonds will not be listed.

Subject to approval by an extraordinary general meeting of the Company, completion of the Bond issue is expected to take place on 19 May 2020. The extraordinary meeting is expected to be held on or around 18 May 2020.

The net proceeds from the Bonds will be applied to the general corporate purposes of the Q-FREE group.

The Bonds were targeted to professional clients in addition to the Company’s 149 largest Norwegian shareholders.

The largest shareholder of the Company, Rieber & Søn AS, has been allocated convertible bonds for the amount of NOK 49.5 million which, based on the initial conversion price, is convertible into 11,335,272 new shares. Rieber & Søn AS owns 24,566,002 shares in the Company and is represented on the Q-FREE Board of Directors.  

Nordea Markets and SpareBank1 Markets are acting as Joint Global Coordinators and Joint Bookrunners of the bond offering.
