Investing in Excellence: A Note from Q-Free CEO

On September 26, 2023, the largest shareholder in Q-Free ASA (“Q-Free”), Rieber and Søn AS (“Rieber”), entered a Joint Venture with Guardian Smart Infrastructure Management Inc. (a subsidiary of Toronto-based Guardian Capital Group Limited) to form a new company, Juniper Holdco AS (“Juniper”). Juniper entered into a conditional agreement to acquire Rieber’s 62.8 % shareholding in Q-Free. Juniper is owned 30% by Rieber and 70% by Guardian Smart Infrastructure Management and is incorporated in Norway.

Guardian Smart Infrastructure Management (GSIM) is the infrastructure investment management arm of Guardian. Guardian has been managing institutional assets since 1962, executing investment strategies on behalf of pension plans, insurers, foundations, endowments, family offices, and mutual funds worldwide.

Through Juniper, the intention is to

  • Delist Q-Free from the Oslo stock exchange
  • Enhance focus on Q-Free’s long-term strategic objectives
  • Better position Q-Free to address the evolving needs of our customers and the industry
  • Allow for and create an environment ripe for innovation, growth, and long-term success

An offer to acquire the remaining shares in Q-Free has been launched and is available on www.juniperholdco.com.

The board of Q-Free supports and recommends the transaction.
